Terms of Use
These Terms govern access to and use of the LedgerLite invoicing API and related tools (the “Service”), operated from the European Union. By using the Service you agree to them on behalf of yourself and any entity you represent.
1. What the Service is
LedgerLite is a non-custodial software tool. It creates payment invoices, derives deposit addresses from extended public keys (xpubs) supplied by the merchant, and reports on-chain payment events. The Service does not hold, transmit, exchange or control customer funds at any time; payments move directly from payer to the merchant’s own wallet. Private keys are never submitted to or stored on our infrastructure.
2. Eligibility & restricted regions
The Service is not offered to, and may not be used by, persons located in or resident of:
- (a) countries, territories or regimes subject to United Nations, European Union, United Kingdom or United States (OFAC) sanctions or comprehensive embargoes — including but not limited to Cuba, Iran, North Korea, Syria, the Russian Federation and Belarus, as well as Crimea and other occupied or embargoed territories;
- (b) jurisdictions in which the provision or use of unlicensed crypto-asset services is prohibited by law, including the mainland of China;
- (c) any other jurisdiction where your use of the Service, or our provision of it to you, would violate applicable law.
Access from restricted regions may be technically blocked without notice. You represent that you are not located in, resident in, or acting for any person located in any region above.
3. Merchant responsibilities
You are solely responsible for (i) the lawfulness of the goods, services and payments you invoice for; (ii) compliance with the laws of your jurisdiction, including AML/KYC, tax and consumer-protection obligations, and any licensing requirements applicable to accepting crypto-assets; (iii) the accuracy of amounts, addresses and xpubs you configure; (iv) displaying your own terms to your customers. We are not a party to any transaction between you and your customers and do not review your commercial activity.
4. Prohibited uses
You may not use the Service for: sanctions evasion; money laundering; the sale of illegal goods or services; fraud, phishing or scams; circumvention of these Terms by proxy or relay; or any purpose our reasonable compliance review flags as unlawful.
5. Irreversibility & accuracy
Blockchain payments are final. Verify that amounts, tokens, networks and addresses match exactly what you expect; we are not responsible for transfers to wrong addresses, wrong networks or amounts sent outside an invoice’s parameters.
6. API keys & security
You are responsible for keeping API credentials confidential and for all activity under them. Notify us promptly of suspected compromise.
7. Availability, changes & fees
The Service is provided “as is”, without uptime warranties. During open beta the Service may be free of charge; fees for later tiers will be announced in advance. We may modify the Service and these Terms; continued use constitutes acceptance.
8. Suspension & termination
We may suspend or terminate access for breach of these Terms, legal risk, or non-payment of applicable fees. You may stop using the Service at any time; funds are always in your own wallets.
9. Disclaimers & liability
Nothing on the Service constitutes investment, legal or tax advice. To the maximum extent permitted by law, we exclude liability for indirect or consequential loss arising from use of the Service, and our aggregate liability is limited to fees paid by you in the preceding twelve months.
10. Governing law
These Terms are governed by the laws of Ireland and the law of the European Union, without regard to conflict-of-law rules, and disputes are subject to the courts of Ireland.
